Introduction

These Terms and Conditions (“Agreement”) set forth the conditions governing your engagement with Ditatics (“Service Provider”, “us”, “we”), located at https://ditatics.com. By purchasing, engaging, or using our services, you (“Client”, “you”, “your”) acknowledge that you have read, understood, and agreed to abide by these terms.

Scope of Services

Ditatics offers extensive digital marketing services, including but not limited to:

  • Website Design & Development
  • Search Engine Optimization (SEO)
  • Pay-Per-Click (PPC) Campaigns
  • Social Media Marketing & Advertising
  • Content Creation & Management
  • Brand Strategy & Consulting
  • Graphic Design
  • Video Production & Editing
  • Photography Services
  • Email Marketing Campaigns
  • Performance Marketing
  • Influencer Marketing
  • Marketing Analytics & Detailed Reporting

Authorization

By engaging our services, you grant Ditatics explicit authorization to access, manage, and modify your digital marketing accounts, which may include platforms such as Google, Facebook, Instagram, LinkedIn, Twitter, and other third-party platforms essential to executing our services effectively.

Client Responsibilities

You, the Client, agree to:

  • Provide prompt and accurate access to necessary login credentials, assets, images, text content, and other relevant technical details.
  • Assume full responsibility for the legality, originality, and accuracy of content provided by you.
  • Immediately inform Ditatics of any unauthorized access or suspected misuse of accounts managed by us.

Payment Terms

  • Specific payment details, including amounts and deadlines, will be clearly detailed in individual invoices.
  • Projects below ₹50,000 require full upfront payment. Projects above ₹50,000 require a 50% advance, with the remaining due upon project completion.
  • Monthly retainer fees must be paid at the beginning of each billing period.
  • Late payments exceeding 15 days may lead to the suspension or termination of services, and additional fees may apply.

Project Modifications

Any request for substantial modifications or expansions beyond the original agreed-upon scope will incur additional fees. Such modifications and associated costs will be clearly communicated and require explicit written consent from the Client before proceeding.

Ownership and Intellectual Property

  • Upon receipt of full payment, all bespoke content, graphics, designs, and digital assets created exclusively for you will become your intellectual property.
  • Ditatics retains the right to display completed projects within our portfolio unless explicitly requested otherwise in writing by the Client.

Confidentiality

Ditatics is committed to maintaining strict confidentiality concerning all sensitive information shared during the project’s duration. Both parties agree not to disclose confidential information unless required by law.

Limitation of Liability

Ditatics is not responsible for:

  • Any indirect, incidental, consequential, special, or exemplary damages.
  • Damages resulting from website outages, hacking incidents, server issues, or circumstances beyond our direct control.

Our total liability under this agreement is limited to the total amount paid by you, the Client, for the services provided.

Termination and Cancellation

  • Clients may cancel a project within 14 days of commencement, incurring minimal charges. After 14 days, cancellation will incur a 50% fee of the total project cost.
  • Monthly retainer services require a 30-day advance written notice to terminate.
  • Ditatics reserves the right to terminate services immediately if the Client breaches the terms of this agreement, engages in unethical activities, or fails to make timely payments.

Third-Party Services

  • Payments for third-party platforms like Google Ads, Facebook Ads, and other advertising platforms can be made directly by the Client or through Ditatics.
  • If payments are processed through Ditatics with a credit period, the ads will be managed exclusively via Ditatics’s dashboard. In this scenario, Ditatics maintains full control and will not provide direct dashboard access or screen sharing during reporting sessions to ensure confidentiality and uphold NDA commitments to other clients.
  • If the Client requires direct dashboard access or screen sharing, they must either provide their own private dashboard to Ditatics for ad management or mutually agree to establish a new ad account/dashboard under Ditatics’s control, which would require a separate agreement and NDA signed by both parties.

Reporting

  • Reports detailing campaign performance, analytics, and insights will be provided periodically as agreed upon.
  • For ads managed exclusively on Ditatics’s dashboard, direct dashboard access or screen sharing is not provided to safeguard the confidentiality and privacy of other client accounts.
  • If the Client requires dashboard access or screen sharing during reporting, they must either hand over their private dashboard for management by Ditatics or agree to a separate dashboard arrangement supported by a signed NDA from both parties.

SEO and Performance Marketing

  • Due to the dynamic and unpredictable nature of search engines and digital marketing platforms, Ditatics does not guarantee specific search rankings or marketing outcomes.
  • Performance marketing results can vary based on several external factors beyond our control, such as market conditions, algorithm changes, and consumer behaviors.

Indemnification

You agree to indemnify and hold harmless Ditatics and its employees, agents, and subcontractors from all claims, liabilities, damages, and expenses (including reasonable attorney fees) arising from your provided content, breach of this agreement, or violation of third-party rights.

Governing Law and Jurisdiction

This agreement shall be governed by the laws of India, with exclusive jurisdiction granted to the courts in Chennai, Tamil Nadu.

Amendments to Terms

Ditatics reserves the right to periodically update these Terms. All amendments will be communicated to clients via email and posted on our website. Continued usage of our services following these updates signifies acceptance of the revised terms.

Data Protection & Privacy Policy

We uphold robust privacy practices detailed in our Privacy Policy, available on our website. By using our services, you consent to the collection, processing, and utilization of personal data in line with our policy.

Force Majeure

Neither party will be liable for delays or failures in fulfilling obligations due to events beyond reasonable control, including natural disasters, pandemics, cyber-attacks, governmental actions, or other unforeseeable circumstances.

Liability for our Services

When permitted by law, we, and all our suppliers, vendors, partners, associates, staff, officers and distributors, will not be responsible for lost profits, revenues, or data, financial losses or indirect, special, consequential, exemplary, or punitive damages.

To the extent permitted by law, the total liability of us, and our suppliers, vendors, partners, associates, staff, officers and distributors, for any claims under these terms, including for any implied warranties, is limited to the amount you paid us to use the Services (or, if we choose, to supplying you the Services again).

In all cases, We, and our suppliers, vendors, partners, associates, staff, officers and distributors, will not be liable for any loss or damage that is not reasonably foreseeable.

We recognize that in some countries, you might have legal rights as a consumer. If you are using the Services for a personal purpose, then nothing in these terms or any additional terms limits any consumer legal rights which may not be waived by contract.

From time to time this website may also include links to other websites. These links are provided for your convenience to provide further information. They do not signify that we endorse the website(s). We have no responsibility for the content of the linked website(s).

Entire Agreement

These Terms represent the entire agreement between Ditatics and the Client concerning our services, superseding any previous agreements or communications, verbal or written.
